Your flash Drive is U3 Smart.
This software allows you to carry your files and your software on a secure USB drive.  U3 technology is only supported by Windows XP & Windows 2000.
No. When you insert it on a PC (Windows) it creates two new drives. A removable media partition as well as what appears to windows to be a CD drive. It is CDFS formatted and write-protected so windows won't let you write over it or format it. And it does not give you an option to repartition it in Disk Management either
No, Disk Utility can not remove U3
IMPORTANT: Removing U3 Launchpd is irreversible.  All DATA ON YOUR U3 SMART DRIVE WILL BE ERASED. Be sure to back up your files before trying to uninstall U3 Launchpad.

You need a U3 LAUNCHPAD UNINSTALLER.  U3 uninstaller is a software that removes the U3 Launchpad and re-configures the drive to be a single mass storage USB drive. It is available only for and must be run on Windows XP or Windows 2000 machines. Here is a link to dowload the programs. (Before running the program make sure your Flash Drive is inserted)
